Godrej Khelo Jeeto Jiyo (“KJJ”/ “Program”) is a television show sponsored jointly by Godrej Industries Limited and Godrej & Boyce Manufacturing Company Limited, hereinafter referred jointly as “Sponsor” and produced by Synergy Adlabs Media Limited (“Producer”). The Program is a game-show involving teams, with two members each, competing in a series of activities as given below to win prizes. The participants in the Program are hereinafter referred to as “Participant” individually and “Participant Team” jointly.

1. Participation in the Program is open only to two-member teams and any entries comprising of less or more number of members shall be rejected. Participant team may be formed only between family members (e.g. parents-children, siblings, husband-wife).

2. Potential participants in the Program (“Applicants”) will either be invited to submit applications and be chosen based on their possession of and demonstration of the attributes for appearing on the Program as determined by Producer and Sponsor or selected from the auditions which will be conduced in the National Capital Region, as the Producer and Sponsor may deem fit.

3. The applicants to the Program are hereinafter referred to as “Applicant” individually and “Applicants” jointly.
4. For submitting applications to the Program, the applicant will need to purchase any Godrej branded product and register the application with the Sponsor either via an sms to 56767 with the details gkjj or via an sms godrej to 56767 or via an IVR phone call to 505101044. In case MTNL (Mumbai) users have difficulty in accessing 505101044, they can alternatively register their entry via IVR on 127777. In case BSNL (All India) and MTNL (Delhi) users have difficulty in accessing 505101044, they can alternatively register their entry via IVR on 1255544. Alternatively, users can log on to www.godrejkhelojeetojiyo.com or www.godrej.com/kjj and register their entry.
5. SMS can be charged upto Rs 4 per sms and IVR phone call can be charged upto Rs 6 per minute.
6. All applications via SMS, IVR calls or the internet must reach the Sponsor latest by 20th July, 2009. Entries will close by 23:59:59 on 20th July, 2009.
7. Product code is a code given by Godrej to its products and is either reproduced on the packaging of the product or on the invoice that is issued by a seller of Godrej branded products to a buyer of a Godrej branded product.
8. Only in the situation that a Godrej branded product is devoid of a product code or bar code, the applicant may send in the entry with only the product value and retain the proof of purchase as specified under points 9 and 10, for subsequent verification by the Sponsor.
9. The applicant shall be responsible for preserving the proof of purchase of the Godrej branded product and will be required to produce the same on request of the Sponsor/ Producer.
10. The proof of purchase includes but is not limited to the following:
    a. Tax invoice in case of Godrej branded consumer durables such as refrigerators, locks, air conditioners, microwave ovens, DVD players, washing machines, television, home safes, home furniture, kitchen knifes.
    b. Wrapper or carton or container in case of all other Godrej branded products.
11. Entry is valid on individual product purchases only. It will not be valid for bulk / institutional product purchases.
12. Applicants must enter the selection process on their own behalf and entries by proxy will not be accepted.
13. The owner of the mobile/ telephone number used for registration of the entry shall be deemed to be the Applicant. If the Applicant is not the owner of the mobile/telephone number used for registration of the entry, then it is the responsibility of the Applicant to obtain a No Objection Certificate (NOC) in the Applicant’s favour.
14. If the operation of the selection process (including without limitation the operation of the telephone system), the recording, broadcast of any/all of the Program is prevented by a force majeure event or causes beyond the control of the Sponsor/ Producer, the Sponsor/ Producer may cancel all/any part of the Program as it deems fit.
15. The Sponsor/ Producer has endeavored to make all reasonably practicable arrangements to minimize communication system difficulties but can make no guarantee therefore and shall not be liable for any failures in the same.
16. The Sponsor/ Producer shall not be responsible and/or liable in any manner whatsoever in case the Applicants/Participant team are unable to participate due to failure on part of the telecom operator, facility provider, etc.
17. STAR India Pvt Ltd is only responsible for telecast of the Program on its channel(s) and shall not incur any liability and/or responsibility in terms of the concept/selection of the Applicants/recording or programming of the Program etc., and/or otherwise in any manner whatsoever.
18. The selection process involves multiple stages, wherein satisfying the criteria for a particular stage does not guarantee qualification for the next stage.
19. The Sponsor/ Producer shall be entitled to adopt any other selection process for the Program, without any prior intimation, at all times.
20. The Applicant/Participant agrees that the selection process and its outcome shall be the prerogative of the Sponsor and/or the Producer and the Applicant/Participant shall have no objection whatsoever to any results thereof.
21. The Sponsor and Producer shall not be responsible for any cost, expense or other liability whatsoever in relation to, arising from, or connected with the application to participate.
22. The Sponsor and/ or Producer reserves the rights to modify, cancel, extend, or discontinue the invitation of entries or any part thereof without giving any reason or prior notice.
23. All Applicants, including the team member, selected for auditions must complete and submit a questionnaire providing the Applicant’s name, contact information and certain other information required by Producer. Applicants, including the team member, must additionally agree to and sign a release that includes, without limitation, a grant of permission to the Producer to use the audio-visual recording of the Applicant, as shot by the Producer during Auditions in any and all media, now known or hereafter devised, in perpetuity, whether as part of the Program or otherwise. Failure to complete and return all forms and releases required by Producer will disqualify an Applicant from consideration to become a Participant on the Program.
24. Producer, in its sole discretion, will determine who among the Applicants interviewed will be selected as Participants. Selection of Participants will be made by the Producer, in its sole and exclusive judgment and discretion. Producer is not obliged to select anyone or any Applicant and Producer’s determinations and decisions regarding the selection of Participants for the Program are final, binding and not subject to challenge or appeal.
25. The Producer and Sponsor are not obliged to have any Participant appear on the Program. Producer may also select alternate Participants for the Program. Producer reserves the right to replace any Participant Team with any alternate Participant Team, to select additional alternate Participant Teams and to otherwise determine which Participant Teams will be selected for the Program.
26. Participation in the selection process is no guarantee of participation on the Program.
27. Participation in the selection process is no guarantee of winning any prize or of success.
28. By participating in the selection process, it is deemed that the Applicants have read, understood, accepted and agreed to abide with all the rules, regulations, terms and conditions of Khelo Jeeto Jiyo.

1. Teams may win products and/or prizes on the Program, on successfully completing the activities stated above.

2. Any product/prize won by a Team will be delivered to the Team’s address, or to the closest feasible place for the Participants to pick up, within 90 days from the telecast of the episode containing the Team’s participation.; provided, however,
   a. if the episode of the Program in which Team appears is not telecast, then the Sponsor may, in its sole discretion, elect not to pay the prize(s) won by the Team.
   b. That the winning Participant team shall provide all necessary cooperation, details, including but not limited to payment of applicable TDS, to enable the delivery the prize, as required by the Sponsor/ Producer.

3. Sponsor/ Producer/Channel reserve the right to display the name(s) of the Participant team that has been identified as the winner in any episode of the Program. However, displaying of the names of the team members of the Participant team shall not bind the Sponsor/ Producer/ Sponsor to award any prize(s) to the Participant team, if the details/documents furnished and/or signed by the said Applicants/Participant Team are inconsistent from the requirements of the Sponsor/Producer/Channel or are found to be misrepresented or fraudulent.

4. The Participant(s) shall solely be responsible for all state, central, and other tax obligations arising on all prizes that the Participant/ Team wins on or in connection with the Program. The Producer/ Sponsor may require proof of payment of any such taxes before delivery of the prizes to the Participant/ Team. Any other expenses, including but not limited to tax deducted at source, other taxes, duties payable on the prizes shall be to the account of the Prize Winner.

5. The Prizes cannot be redeemed for cash. No cash claim can be made in lieu of any prize(s). All prizes are non-transferable and non-refundable, under any circumstances.

6. Sponsor shall not be responsible for the quality or functioning of the prizes, once handed over to the winners.

7. The contestant agrees and accepts in case the particular product or prize cannot be delivered due to any reason, the Sponsor reserves the right to deliver another product / prize which would be equivalent to the original product / prize as far as monetary value is concerned and the Contestant will not raise any claim or objection whatsoever to the substituted product / prize awarded to him.
8. The above rules 2-7 also applies to the prizes given to the winners of the viewer contest run by Star India Private Limited for the duration of the television show.

1. The Participant(s) shall abide by all reasonable instructions of Producer with regard to their participation in the Program, including the stages and rules for the gameplay in the Program.

2. Persons interested in participating in the Program must be above the age of 18 years and must be a citizen of India (as per The Citizenship Act, 1955) and must be residing in India.

3. Persons wishing to participate in the Program should not have criminal conviction, any pending litigation or arbitration against him/her or any arrangement or contract that prevents or restricts such person from participating in the Program or abiding with the rules and regulations of the Program.

4. The Participant shall furnish adequate proof of name, age and address (i.e., Birth Certificate, 10th Class leaving Certificate/ School certificate/ passport/ an affidavit signed by a magistrate).

5. The Participant(s) shall execute all documents as required by the Producer and/or the Sponsor and such documents shall be valid and binding on the Participant(s) at all times. Refusal to execute any required documentation shall be grounds for immediate disqualification from participation in the Program.

6. Even if a Participant participates on the Program, Producer is not obligated to use, exhibit or exploit the Program, the Participant’s participation therein or any part thereof.

7. By participating in the Program, it shall be deemed that the Participant(s) has waived his/her right to raise any dispute of any nature whatsoever with regard to and /or in connection to the participation in the Program by the Participant(s) and/or by any family member(s) of the Participant(s).

8. The Sponsor reserves the right to at any time to withdraw/stop/discontinue the Program and/or change the process of participating in the Program and/or the date, time and place of the Program, in its absolute discretion and without giving any prior notice thereof. Neither the Sponsor, Producer, the Channel nor their employees, officers, directors or any other person shall be responsible to inform the Participant in advance, if the Sponsor decides to withdraw/stop/discontinue/change the process of participating in the Program and/or the Program.

9. Any and all costs, direct and/or indirect, in relation to participation in the Program shall be borne by the Participant(s) alone and the Sponsor, Producer or Channel shall not be responsible and/or liable for such costs in any manner whatsoever.

10. Sponsor and/or the Channel or their employees, officers, directors or any other person shall not be responsible and/or liable in any manner whatsoever to compensate the Participant for his/her participation in the Program nor be responsible for any arrangements made in connection thereto by the Participant.

11. The Participant agrees that he/she shall hold harmless the Producer, the Channel, Sponsor, its affiliates, its group companies, their employees, officers, directors or any other person from and against any injury/damage/harm/loss/ death/ mental or emotional trauma suffered by the person, in any manner whatsoever in connection with participating in the Program and/or the Program and waives all rights to file in person/ through any family member and/or third Participant any applications, criminal and/or civil proceedings in any courts or forum in India to claim any damages or relief.

12. Employees of and/or consultants of and/or persons hired on contract by Sponsor, Producer, Channel(s) and the members of their immediate family are ineligible for participating in the Program.

13. Participant will not harass, intimidate, or threaten anyone with whom Participant is in contact in connection with their participation on the Program, including without limitation, the production staff, the other participants, the parents or legal guardians of other participants, the host(s), the members of the audience, or any other entities or individuals connected with the Program.

14. Participant shall not wear any clothing items, including, but not limited to, shirts, pants, shorts, and hats, or displaying tattoos, that contain any recognizable logos (for example, designer, sports, or any other logos) or any other copyrighted material or bearing the name or likeness of a celebrity, living or dead, unless Producer has specifically provided such apparel to Participant. Participant shall not make any mention of or "plug" any commercial product, service, venture or thing on the Program, including, without limitation, the name of Participant's employer. Neither Participant nor anyone acting on Participant's behalf shall give or receive any monies, or other valuable consideration to be on the Program or to have Participant mention or display anything on the Program.

15. Participants are strictly prohibited from revealing any information about this program, including, without limitation, these rules. The Participant shall not directly or indirectly, at any time whatsoever during the Term or thereafter, disclose or cause to be disclosed, any information relating to the Sponsor, the Producer, the Program or his/her participation in the Program (including the details of any prizes that the Participant may win) or any related matters to any third party, including without limitation the press or any other media.

16. In addition to the rules set forth herein, Participants may be disqualified or eliminated from the Program at Producer's sole discretion for any reason (or for no reason), including, without limitation, any of the following reasons:
    i) Breaking any rule pertaining to the Program;
    ii) Breaching any agreement with the Producer in connection with the Program;
    iii) Violation of any local, city, state or central laws, rules or regulations;
    iv) Entering into any personal, social, business, and/or financial relationship with any other Participant, any relative or social or business acquaintance of a Participant, any employee, agent or representative of the Producer or Sponsor or any of their respective affiliates, such that the outcome of the Program is affected in any manner, including, without limitation, any arrangements for financial benefit of the Participant or any third party;
    v) Harming, harassing, or threatening to harm other participants, production staff, crew, or talent, or engaging in physically injurious or violent behavior, criminal activities, or making any misrepresentations;
    vi) Illness, health related matters, or scheduling conflicts that make it impossible or impractical for Participant to be available for the requested production days or to participate safely in the Program;
    vii) Failing to disclose information or providing false information to Producer; and
    viii) Failure to follow any reasonable instructions of the Producer.

17. The Participant shall not participate in any act or any other deceptive or dishonest act with respect to the Program or with the intent of rigging the outcome of his/her participation in the Program. If anyone tries to induce the Participant to do any such acts the Participant shall immediately notify the Producer.

18. Producer, Sponsor or Channel are in no manner whatsoever responsible and/or shall not be held liable in any manner whatsoever, for any injury, death, mental trauma caused to the winner in any manner whatsoever or for any reason whatsoever in connection to the activity, prize and/or the program.

19. By participating in the Program it is deemed that the persons wishing to participate in the Program have read, understood, accepted and agreed to abide with all the terms and conditions of the Program.
20. The Sponsor is not entering into any contractual or other legal relationship with the participants/applicants or other purchasers in running this contest.
21. The persons wishing to participate in the Program and the Participant(s) therein shall comply with the laws of India and the Rules and Regulations shall be construed in accordance with the laws of India.
22. The interpretation and implementation of the rules shall be at the sole discretion of Producer/ Sponsor. The decisions of Producer/Sponsor shall be final and binding, and not subject to challenge or appeal.
23. The Producer/Sponsor reserves the right in its sole discretion to change, amend or supplement the Rules for any reason and at any time, without any notice to any participant(s). It shall be the sole responsibility of the persons wishing to participate in the Program to check the terms and conditions for the Program on the website www.godrej.com/kjj.
24. Any dispute, issue or other matter arising with reference to the Participant’s participation in the Program and/or the Program or any related matters thereto shall be referred to Arbitration under a sole Arbitrator appointed by the Producer and/or the Sponsor. The said Arbitration proceedings shall be governed by the Arbitration and Conciliation Act, 1996, as amended from time to time. The venue for arbitration shall be Mumbai and proceedings shall be conducted in English language. All the costs, charges and expenses in connection to the Arbitration shall be solely borne by the person who has raised the dispute.
25. Courts in Mumbai shall have exclusive jurisdiction over all matters relating to participation in the Program and/or the Program. Subject to the provision of rule 24 above, the courts having jurisdiction under the provisions of the Arbitration and Conciliation Act, 1996, to determine all matters which the court is entitled to determine under the Act, including, without limitation, provision of interim relief’s under the provisions of Section 9 of the Arbitration and Conciliation Act, 1996, shall exclusively be the courts at Mumbai, India.
26. Godrej Properties Limited is proposing, subject to market conditions and other considerations, a public issue of its equity shares and has filed a Draft Red Herring Prospectus with SEBI. The participation of the participant(s) in the activity and/or the program shall mean that the Participant(s) acknowledges that he/she has received, read and understood the foregoing Rules and Regulations and that Participant(s) agrees to adhere to and comply with the foregoing Rules and Regulations (as they now stand or as they may be changed or amended hereafter)
